These Terms of Service ("Terms") govern your use of the Centera360 platform operated by Centera Labs Private Limited ("Centera Labs", "we", "us"). By accessing or using Centera360, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Centera360, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations, including the Information Technology Act, 2000 and the Indian Contract Act, 1872.

2. Description of Service

Centera360 is a cloud-based SaaS platform that provides business management tools for mobile retail companies, including HR management, inventory tracking, payroll, MIS reports, policy management, and sales CRM.

3. Account Registration

You must provide accurate and complete registration information
You are responsible for maintaining the security of your account credentials
You must notify us immediately of any unauthorized access
One account per company; sub-accounts for employees are managed by the admin

4. Subscription and Payment

Centera360 is offered as a monthly subscription at ₹5,000/month per company
Payment is processed through Razorpay; GST invoices are provided
Subscriptions auto-renew monthly unless cancelled before the renewal date
Prices may change with 30 days advance notice
Free trial period: 14 days with full access to all features

5. Acceptable Use

You agree not to:

Use the platform for any unlawful purpose
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to other accounts or systems
Resell, sublicense, or redistribute access to the platform
Use the platform to store or transmit personally identifiable information in violation of applicable law
Interfere with or disrupt the platform's infrastructure

6. Data Ownership

Your Data: You retain full ownership of all data you enter into Centera360. We do not claim ownership of your business data.
Our Platform: Centera Labs retains all rights to the Centera360 platform, including its design, code, features, and intellectual property.
Data Export: You may export your data at any time through the platform's export features.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control.

8. Limitation of Liability

To the maximum extent permitted by Indian law, Centera Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Centera Labs from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

10. Termination

You may cancel your subscription at any time from your account settings
We may suspend or terminate accounts that violate these Terms
Upon termination, your data remains available for 30 days for export
After 30 days, your data will be permanently deleted

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

12. Changes to Terms

We may update these Terms with 30 days notice. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
